Terms of Service
These Terms of Service govern your access to 10Native's website and your engagement of our AI/ML, Data Engineering, Fintech, and Digital Marketing services.
Last Updated: September 8, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and 10Native LLC ("10Native," "we," "us," or "our") governing your access to and use of https://10native.com (the "Site") and any AI/ML, Data Engineering, Fintech, Digital Marketing, or software development services we provide (collectively, the "Services").
By accessing the Site, submitting a project inquiry, or signing a proposal or statement of work with 10Native, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please discontinue use of the Site and Services.
2. Description of Services
10Native is a digital engineering agency providing enterprise solutions across AI & Machine Learning, Data Engineering, Fintech Solutions, Software Development, Mobile App Development, CMS & E-Commerce, and 360° Digital Marketing (SEO, paid media, and social). The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate proposal, statement of work (SOW), or signed contract between 10Native and the client, which takes precedence over these general Terms in the event of a conflict.
3. Client Responsibilities
To enable us to deliver Services on schedule, clients agree to:
- Provide timely access to accurate information, brand assets, credentials, and feedback required for the project
- Designate an authorized representative to approve deliverables and milestones
- Make payments according to the agreed invoicing schedule
- Ensure they hold the necessary rights to any content, data, or third-party accounts provided to 10Native
Delays in providing required information or approvals may extend agreed project timelines accordingly.
4. Intellectual Property Rights
4.1 Deliverables
Upon receipt of full and final payment, ownership of the final client-specific deliverables (e.g., custom code, designs, and content created specifically for the client's project) transfers to the client, as further defined in the applicable proposal or SOW.
4.2 Pre-Existing & 10Native IP
10Native retains ownership of all pre-existing materials, proprietary frameworks, internal tools, methodologies, and reusable code libraries used in delivering the Services. These elements are licensed to the client, where applicable, for use in connection with the delivered project, but are not sold or transferred outright.
4.3 Portfolio Rights
Unless otherwise agreed in writing, 10Native may reference completed work — including project screenshots, case studies, and the client's name or logo — in its portfolio, website, and marketing materials.
4.4 Site Content
All content on the Site, including text, graphics, logos, and software, is the property of 10Native or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.
5. Payment Terms & Fees
- Fees, payment schedules, and accepted payment methods are specified in each client's proposal or SOW.
- Unless otherwise agreed, invoices are due within 15 days of receipt. Late payments may result in paused work and are subject to late fees as outlined in the governing contract.
- Deposits and milestone payments are generally non-refundable once work covering that milestone has begun, except as otherwise stated in the signed agreement.
- Third-party costs (e.g., hosting, licenses, ad spend, paid API usage) are billed separately unless included in the SOW.
6. Project Timelines & Delivery
Timelines communicated in proposals are good-faith estimates based on the scope defined at the time of signing. Changes in scope, delayed client feedback, or dependencies on third-party systems may affect delivery dates. Material changes to scope will be documented in a change order and may affect fees and timeline.
7. Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the engagement, and to use it solely for the purpose of performing under the agreement. This obligation survives the completion or termination of the engagement.
8. Warranties & Disclaimers
10Native provides Services using commercially reasonable skill and care consistent with industry standards. The Site and Services are otherwise provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. 10Native does not guarantee specific business outcomes, search engine rankings, or revenue results from marketing or SEO services, as these depend on factors outside our control.
9. Limitation of Liability
To the maximum extent permitted by law, 10Native shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Site or Services. 10Native's total aggregate liability for any claim arising from an engagement shall not exceed the total fees paid by the client for the Services giving rise to the claim in the preceding three months.
10. Indemnification
You agree to indemnify and hold harmless 10Native, its officers, employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Site, or infringement of any third-party rights through content or materials you provide to us.
11. Termination
Either party may terminate an active engagement as described in the applicable proposal or SOW, typically with written notice. Upon termination, the client is responsible for payment of all fees for work performed up to the effective termination date. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
12. Third-Party Links & Services
The Site may link to or integrate with third-party platforms (e.g., hosting providers, payment processors, analytics, or advertising platforms). 10Native is not responsible for the content, terms, or practices of third-party services and encourages you to review their respective policies.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or an engagement with 10Native will first be addressed through good-faith negotiation between the parties before either party pursues formal legal action in the state or federal courts located in Texas.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, services, or legal requirements. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
